Welcome to HR24. These Terms and Conditions (“Terms”) form a binding agreement between you (“The Client”) and HR24 (ABN 98 132 486), (“HR24”, “we”, “us”, “our”), governing The Client access to and use of HR24’s human resources and employee relations advice line and related services.
By accessing or using our services, The Client confirms they have read, understood, and agree to be bound by these Terms.
Our services are designed to support The Client’s workplace relations needs but do not constitute legal advice. HR24 is not a law firm, and the Client should seek qualified legal counsel for matters requiring formal legal representation.
These Terms and Conditions set out the rights, obligations, and responsibilities of both HR24 and The Client. We recommend The Client review these Terms carefully, as they govern The Client’s ongoing relationship with HR24. HR24 may amend these Terms from time to time and will be communicated to The Client through Email. Continued use of our services after any amendment constitutes the Client’s acceptance of the revised Terms.
HR24 specialises in delivering accessible, practical, and compliant human resources and employee relations support to Australian businesses. Our core services include:
Templates and Resources: HR24 provides a range of fillable templates, reference guides, checklists, and information sheets designed to help the Client’s business manage HR processes, meet workplace compliance obligations, and address common HR challenges. These materials are provided for the Client’s internal business use only and are not tailored to the Client’s specific circumstances unless expressly stated.
HR Advice Line and Support: HR24 offers phone and email access to our experienced HR consultants for general guidance and advice on HR, workplace relations, and compliance issues. Our advice is based on the information The Client provides and is intended to assist with ordinary and common workplace matters. Advice is provided during our standard business hours Monday-Friday, 9:00am-5:00pm (excluding public holidays)
Exclusions: HR24 does not provide legal services, legal representation, or advice tailored to special or unusual circumstances. Our advice and materials are intended for use in typical workplace scenarios only. Complex or high-risk issues (including but not limited to disputes, litigation, enterprise bargaining, or workplace investigations) may require referral to an external professional or legal advisor.
Onsite Services: HR24 does not provide onsite visits or representation. If onsite services are required, these may be available from our PerformHR team, subject to separate agreement and quotation.
While we make every reasonable effort to ensure our advice and resources are accurate, up-to-date, and compliant with Australian law, HR24 does not guarantee compliance with all state or federal legislation in all circumstances. The Client remains responsible for ensuring that any action taken based on our advice or materials is appropriate for The Client’s business and meets The Client’s legal obligations.
HR24 reserves the right to update, improve, add to, or withdraw any part of the services provided at its sole discretion. Any changes will be communicated via direct notice through email.
To ensure HR24 provides advice that is accurate and appropriate to The Client’s business, clients must declare and maintain up-to-date information regarding their workforce size and structure. This information is used to determine The Client’s eligibility for HR24 service tiers, set applicable fees, and ensure compliance with these Terms.
3.1 Business Eligibility
HR24 services are intended for use by Australian businesses, employing staff within Australia, and are not available to private individuals or consumers for personal use.
3.2 Employee Declaration and Updates
Upon subscribing to HR24, The Client must declare the total number of employees in The Client organisation, including full-time, part-time, and casual staff, as at the time of registration. Contractors and labour hire workers should be disclosed separately if The Client is seeking advice about their engagement. HR24 reserves the right to request reasonable evidence of employee numbers or business structure if needed.
The Client’s declared employee count will determine The Client’s category of service and related fees, for example:
Essential: 1–14 employees
Extended: 15–50 employees
If The Client’s employee numbers change, The Client is required to notify HR24 in writing within 14 days. Failure to provide accurate, complete, or up-to-date information may result in incorrect advice, inappropriate resource allocation, service suspension, or additional charges.
3.3 Authority to Act
By entering into this agreement, The Client warrants that signatory has full authority to act on behalf of The Client’s business or employer, and to bind The Client’s organisation to these Terms.
3.4 HR24 Verification Rights
HR24 reserves the right to verify the information provided by The Client at any time, including (but not limited to) requesting documentation or other evidence relating to The Client’s employee numbers, business structure, or eligibility.
As a client of HR24, The Client agrees to meet the following obligations to ensure the effective delivery of our services and to maintain the integrity and security of our advice, resources, and platform:
4.1 Provision of Accurate and Complete Information
The Client must provide HR24 with accurate, complete, and up-to-date information at all times when seeking advice, using our resources, or updating The Client’s account details. The advice and resources provided by HR24 are based on the information that The Client supplies; HR24 is not responsible for any consequences resulting from incomplete, inaccurate, or misleading information.
4.2 Internal Use Only
The Client agrees to use all advice, resources, templates, and guidance provided by HR24 solely for The Client’s internal business purposes. The Client must not distribute, resell, share externally, or otherwise disclose HR24’s materials, advice, or resources to any third party, including clients, affiliates, or related businesses, without the prior written consent of HR24.
4.3 Compliance with Laws and Good Conduct
The Client must comply with all applicable Australian laws, regulations, and workplace standards in The Client’s use of HR24’s services and materials. The Client must not use HR24’s services for any unlawful, unethical, or improper purpose, or in a manner that may bring HR24 or its related entities into disrepute.
4.4 Authority and Responsibility
The Client warrants that The Signatory to this agreement has the authority to act on behalf of The Client’s organisation, and that all information and instructions The Client provides are duly authorised. The Client is responsible for ensuring that any person using The Client’s HR24 account or receiving advice on The Client’s behalf is aware of, and complies with, these Terms.
4.5 Cooperation with HR24
The Client agrees to cooperate fully with HR24 and provide all information, access, or assistance reasonably required to enable HR24 to deliver its services or to investigate any actual or suspected breach of these Terms.
Failure to comply with these obligations may result in suspension or termination of The Client’s access to HR24’s services and may incur additional charges or legal liability.
5.1 Fees Structure
HR24’s fees are based on The Client’s declared employee count and selected service category. All fees are quoted in Australian dollars (AUD) and are exclusive of GST unless otherwise specified. HR24 will provide a fee schedule or engagement agreement outlining the applicable charges.
5.2 Invoicing and Payment Terms
Payment terms will be detailed in The Client’s engagement agreement or invoice. Unless otherwise agreed in writing, payment is due within [14] days of the invoice date.
5.3 Pro-Rata and Adjustments
Where services commence partway through a billing period, fees may be charged on a pro-rata basis. If The Client’s declared employee numbers change and result in a different service category or fee, HR24 reserves the right to adjust The Client’s fees accordingly, effective from the date of change.
5.4 Late Payments
Late payments may incur additional charges, including interest calculated at the rate prescribed by law or as specified in The Client’s engagement agreement. HR24 reserves the right to suspend or terminate services if payment is not received in accordance with these Terms.
5.5 Disputed Invoices
If The Client believe there is an error in an invoice, The Client must notify HR24 in writing within 7 days of receipt. If no such notice is received, the invoice will be deemed accepted. Disputing part of an invoice does not relieve The Client of the obligation to pay undisputed amounts by the due date.
5.6 Non-Refundable Fees
Except as required under Australian Consumer Law, all payments made to HR24 are non-refundable, including where The Client elect to cease using the services prior to the end of a paid period.
5.7 Service Suspension for Non-Payment
HR24 reserves the right to suspend or terminate access to services for non-payment. Access will be restored only upon receipt of all outstanding amounts.
6.1 Commitment to Confidentiality
HR24 is committed to protecting the confidentiality of all information The Client provides to us in the course of delivering our services. Any information The Client shares with HR24, including business data, employee details, or other sensitive information, will be treated as confidential and will not be disclosed to third parties without The Client’s prior written consent, except as required by law or as necessary to perform the services outlined in these Terms.
6.2 Mutual Obligations
Both HR24 and the client agree to treat all non-public, proprietary, or confidential information received from the other party as confidential. Each party must take reasonable steps to safeguard such information against unauthorised access, disclosure, or misuse.
6.3 Use of Confidential Information
Confidential information may only be used for the purpose of providing or receiving HR24 services under these Terms. Neither party may use or permit the use of confidential information for any other purpose without prior written consent.
6.4 Disclosure to Third Parties and Cloud Storage
HR24 may engage service providers (including cloud-based data storage providers) to support the delivery of our services. HR24 will take reasonable steps to ensure any third-party providers maintain appropriate confidentiality and data security standards. The client acknowledges and consents to the storage and processing of information using secure third-party platforms as required.
6.5 Survival of Confidentiality Obligations
The confidentiality obligations set out in this section survive the termination or expiry of this agreement and remain in effect for as long as the information remains confidential.
6.6 Exceptions
Confidentiality obligations do not apply to information that:
Is or becomes publicly available without breach of these Terms;
Is lawfully obtained from a third party free of any obligation of confidence;
Is independently developed without reference to the confidential information; or
Is required to be disclosed by law, regulation, or court order, provided that (where legally permitted) the disclosing party gives notice of such requirement to the other party as soon as practicable.
7.1 Compliance with Privacy Law
HR24 is committed to handling The Client’s information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. By using our services, The Client consent to the collection, use, storage, and disclosure of personal information as set out in these Terms and HR24’s Privacy Policy.
7.2 Collection and Use of Personal Information
HR24 collects, uses, and stores personal information only as necessary to provide services, manage client relationships, respond to enquiries, and comply with legal obligations. Personal information may include names, contact details, job titles, and other information relevant to The Client’s business and employees.
We may collect personal information:
Directly from The Client (via forms, emails, calls, or meetings);
From The Client’s use of our platform, or resources;
From third parties where authorised by The Client or required by law.
7.3 Purposes for Collection
The Client’s information is collected and used to:
Provide HR advice and services;
Communicate with The Client regarding The Client’s account and HR24’s services;
Maintain client records, process invoices, and manage accounts;
Inform The Client of service updates, industry developments, or relevant offerings (unless The Client opt out of such communications);
Meet legal, regulatory, and reporting obligations.
7.4 Disclosure and Storage
HR24 will not disclose The Client’s information to third parties except as required to deliver our services (such as technology or data storage providers), with The Client’s consent, or where required by law. Where information is disclosed or stored with third-party providers (including cloud storage), HR24 takes reasonable steps to ensure security and confidentiality are maintained.
7.5 Security and Retention
HR24 takes all reasonable steps to secure personal information, whether held electronically or in hard copy, and to keep it accurate and up to date. We do not retain personal information longer than necessary for business, legal, or compliance reasons.
7.6 Access, Correction, and Complaints
The Client may request access to personal information HR24 holds about The Client, seek correction of inaccurate or outdated information, or raise concerns about how The Client’s information is handled by contacting us at info@hr24.com.au. HR24 will respond to such requests in accordance with Australian privacy law.
7.7 Privacy Policy
Full details of how HR24 collects, uses, and protects personal information are set out in our Privacy Policy, available at hr24.com.au The Privacy Policy forms part of these Terms.
8.1 Nature of Advice and Use of Services
HR24 provides advice, resources, and guidance based on the information available at the time of consultation and in good faith. Our services and materials are offered as general HR and employee relations support, not legal advice. HR24 makes no representation or warranty that the services will be suitable for The Client’s specific circumstances or that the resources will ensure compliance with all laws.
8.2 No Guarantee of Outcome
To the fullest extent permitted by law, HR24 does not guarantee any particular outcome, result, or compliance by The Client’s organisation from the use of our services or resources.
8.3 Exclusion of Liability
To the maximum extent permitted by law, HR24 (including its employees) is not liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive loss or damage arising from:
The use of, or reliance on, HR24’s advice, services, templates, or other materials;
Any interruption, delay, or inability to access services;
Any errors or omissions in the information The Client provide to HR24;
Any unauthorised use of The Client’s HR24 account or confidential information.
8.4 Limitation of Liability
If HR24 is found liable for any claim under these Terms, our total liability is limited to the amount of fees paid by The Client for the relevant services in the twelve (12) months preceding the claim, or the minimum required under the Australian Consumer Law, whichever is greater.
8.5 Indemnity
The Client agrees to indemnify, defend, and hold harmless HR24 (and its employees) against any claims, losses, damages, costs, expenses, or liabilities (including reasonable legal costs) arising out of or in connection with:
The Client’s use or misuse of HR24’s services or resources;
Any breach of these Terms by The Client or The Client’s representatives;
The provision of false, incomplete, or misleading information to HR24;
Any claim brought by a third party arising from The Client’s use of HR24’s advice or materials.
8.6 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.
9.1 Intellectual Property Rights
Means all patents, copyright, moral rights, registered designs, registered and unregistered trademarks, trade secrets, know-how and all other intellectual property as defined in Article 2 of the Convention Establishing the World Intellectual Property Organisation of July 1967.
9.2 IP in Developed Material assigned to Client
Except to the extent provided to the contrary in this clause or otherwise specifically agreed to in writing by parties, Intellectual Property Rights in all Developed Material are assigned to the Client.
9.3 IP in Pre-Existing Material owned by HR24
All Intellectual Property Rights in Pre-Existing Material owned by HR24 remain vested in HR24 (or relevant third-party owner) absolutely. The Client acknowledges that this Agreement does not transfer to the Client, or any other party on behalf of the Client, any ownership rights or title in HR24’s Intellectual Property Rights in its Pre-Existing Material.
9.4 IP in Pre-Existing Material owned by Client
Any pre-existing Intellectual Property Rights owned by the Client before the commencement of this Agreement, will remain vested in the Client. The Client grants to HR24 a non-exclusive, transferable, royalty free licence to use its Intellectual Property Rights in its Pre-Existing Material to the extent that such use relates to any material created by HR24 pursuant to this Agreement or such use is reasonably required for HR24 to complete the Services.
9.5 Client ownership of Pre-Existing Material
The Client warrants that it is the absolute legal and beneficial owner of all of the Client’s Pre-Existing Material provided or licenced to HR24 under or in connection with this Agreement. HR24 will not be liable to the Client or any third party for any Claim arising out of or in connection with the use of the Client’s Pre- Existing Material in connection with this Agreement or the infringement on any third party right’s by or at the direction of the Client and the Client indemnifies HR24 in respect of any such Claim.
9.6 Licence for Client to use Pre-Existing Material incorporated in Developed Material
To the extent that HR24’s Pre-Existing Material is incorporated into Developed Material, HR24 grants a non-exclusive, non-transferable, limited licence to the Client to use, reproduce and adapt for its own purposes that Pre-Existing Material, but only where and to the extent that it forms part of the Developed Material (and any future development or application of the Developed Material).
(Survival) This clause will survive completion, expiry or termination of this Agreement
10.1 Termination by HR24
HR24 may suspend or terminate The Client’s access to services, in whole or in part, immediately by written notice if:
The Client breaches these Terms, including (but not limited to) non-payment of fees, misuse of HR24 Materials, or unauthorised disclosure of confidential information;
The Client use HR24’s services for any unlawful, unethical, or improper purpose;
HR24 reasonably suspects The Client have provided false, misleading, or incomplete information;
Required by law or regulatory authority.
HR24 may also terminate The Client’s agreement for convenience by providing at least thirty (30) days’ written notice.
10.2 Termination by Client
The Client may terminate The Client’s agreement with HR24 at any time by providing at least thirty (30) days’ written notice, subject to the terms of The Client’s engagement agreement and payment of any outstanding fees. Where The Client terminates before the end of a prepaid period or minimum term, no refund will be given except as required by law.
10.3 Survival
Clauses relating to confidentiality, intellectual property, limitations of liability, indemnity, and any other provision which by its nature is intended to survive, will remain in force after termination or expiry of this agreement.
11.1 Right to Amend
HR24 reserves the right to amend, update, or modify these Terms at any time to reflect changes in our services, legal obligations, business practices, or other reasons.
11.2 Notification of Changes
Any changes to these Terms will be effective upon notification to the client by email, SMS or other reasonable means. We encourage the client to review the Terms periodically to ensure the client is aware of any updates.
11.3 Acceptance of Amendments
The Client’s continued use of HR24’s services after any amendment or update to these Terms constitutes The Client’s acceptance of the revised Terms. If The Client does not agree to the amended Terms, the client must cease using HR24’s services immediately.
11.4 Changes to Service Offerings
HR24 may add, modify, or remove features, offerings, or service levels from time to time. Material changes affecting The Client’s contracted services will be communicated to The Client with reasonable notice where possible.
12.1 Assignment
The Client may not assign, transfer, or subcontract any of their rights or obligations under these Terms without HR24’s prior written consent. HR24 may assign or transfer its rights or obligations at its discretion, provided it does not materially affect The Client’s rights under these Terms.
12.2 Entire Agreement
These Terms constitute the entire agreement between The Client and HR24 regarding the subject matter herein, and supersede all prior agreements, communications, negotiations, or understandings, whether written or oral.
12.3 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be severed from the Terms, and the remaining provisions will continue in full force and effect.
12.4 Relationship
Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between The Client and HR24. The relationship is solely that of independent contractor and client.
12.5 Force Majeure
Neither party will be liable for any delay or failure to perform its obligations under these Terms if that delay or failure arises from events beyond its reasonable control, including (but not limited to) acts of God, natural disasters, war, terrorism, civil unrest, or government action.
12.6 Notices
All notices or other communications required under these Terms must be in writing and delivered to the contact details specified in the engagement agreement or as otherwise notified in writing by one party to the other.
